Agreement to Terms

By accessing or using the website at centermarq.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and CenterMarq Business and IT Services, LLC ("CenterMarq," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Site.

Description of Services

CenterMarq provides business and IT consulting services, including but not limited to fractional CTO and CIO leadership, AI readiness assessments, IT governance, data strategy, and digital transformation advisory. The specific scope, deliverables, and terms of any consulting engagement will be defined in a separate Statement of Work (SOW) or engagement agreement between you and CenterMarq.

Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, local, or international law or regulation
• Attempt to interfere with the proper functioning of the Site, including through the introduction of viruses, trojans, or other malicious code
• Attempt to gain unauthorized access to any portion of the Site, server, or any system connected to the Site
• Scrape, crawl, or use automated means to collect content from the Site without our prior written consent
• Impersonate or attempt to impersonate CenterMarq, a CenterMarq employee, or any other person or entity

Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, frameworks, methodologies, and software, is the property of CenterMarq or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Site without our prior written permission, except as necessary for your personal, non-commercial use in evaluating our services.

Consulting Engagements

These Terms govern your use of the Site. Any consulting services provided by CenterMarq are subject to the terms of a separate, mutually executed engagement agreement or Statement of Work. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement shall control with respect to the services described therein.

Nothing on this Site constitutes a binding offer to provide services. All project scoping, pricing, and timelines discussed on the Site or during initial consultations are preliminary and subject to the execution of a formal engagement agreement.

Confidentiality

We understand that information shared during consultations and engagements may be sensitive. CenterMarq treats all client communications and business information as confidential unless otherwise agreed in writing or unless the information is publicly available. Specific confidentiality obligations will be detailed in the applicable engagement agreement or a separate Non-Disclosure Agreement (NDA).

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION AVAILABLE ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

CenterMarq disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Content published on the Site, including blog posts, frameworks, and resource materials, is provided for general informational purposes only and does not constitute professional advice. You should not act or refrain from acting based on any content on the Site without seeking appropriate professional counsel tailored to your specific circumstances.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CENTERMARQ, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the Site
• Any content, materials, or information obtained from the Site
• Unauthorized access to or alteration of your transmissions or data
• Any other matter related to the Site

IN NO EVENT SHALL CENTERMARQ'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00). LIABILITY FOR CONSULTING SERVICES SHALL BE GOVERNED BY THE APPLICABLE ENGAGEMENT AGREEMENT.

Indemnification

You agree to indemnify, defend, and hold harmless CenterMarq and its members, managers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site, or your violation of these Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Gwinnett County, Georgia, and you consent to the personal jurisdiction and venue of such courts. Before initiating any formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.

Termination

We reserve the right to terminate or suspend your access to the Site, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by CenterMarq. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. You access third-party sites at your own risk.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.
